End User Licence Agreement
Effective date: 31 July 2026
This End User Licence Agreement (the Agreement) is between Sweet Decibels SAS, a French simplified joint-stock company registered under SIREN 948 029 301, with its registered office at 176 rue du 4 Septembre, 77810 Thomery, France (Sweet Decibels), and the person or organisation that acquires or uses a Sweet Decibels product (the Licensee).
The General Terms apply to every Product. Schedule A applies to Software, and Schedule B applies to Sound Libraries. If a Product contains both Software and a Sound Library, both schedules apply to the relevant parts of that Product.
General Terms
1. Acceptance
By accepting this Agreement during checkout or activation, or by downloading, installing, activating, accessing, copying, or using a Product, the Licensee confirms that they have read and accepted this Agreement. A person accepting this Agreement for an organisation confirms that they have authority to bind that organisation.
If the Licensee does not accept this Agreement, they must not download, install, activate, or use the Product. Any mandatory consumer rights, including rights concerning digital content and withdrawal, remain unaffected.
2. Definitions
Authorised Device means a computer, hardware licence key, or another activation location recognised by the applicable Licensing System.
Authorised User means the individual to whom a Seat is assigned.
Documentation means the user guides, specifications, installation instructions, and other materials supplied with a Product.
Licensing System means the first-party or third-party technology used to issue, store, verify, move, or revoke a Software activation.
Major Version means a release that Sweet Decibels identifies as a major upgrade, whether by a change to the first version number, a new product name, or an equivalent designation.
Product means Software, a Sound Library, Documentation, and any other files expressly supplied by Sweet Decibels under this Agreement.
Production means a film, television programme, trailer, advertisement, video game, application, website, podcast, radio programme, music production, live experience, immersive experience, or other finished audio, audiovisual, or interactive work in which licensed sounds are incorporated.
Seat means a licence assigned to one Authorised User. A Seat may not be shared concurrently or used as a floating licence unless Sweet Decibels expressly agrees otherwise in writing.
Software means a Sweet Decibels application, audio plug-in, installer, related resources, and any updates supplied under the same licence.
Sound Library means the sound recordings, metadata, artwork, Documentation, and associated files supplied as a sound effects or sound-content product.
3. Licence, not sale
Products are licensed, not sold. Subject to this Agreement and a valid acquisition from Sweet Decibels or an authorised seller, Sweet Decibels grants the Licensee only the rights expressly stated in the applicable schedule. All other rights are reserved.
The licence is non-exclusive. Ownership of the Products and all associated copyright, trade marks, designs, know-how, and other intellectual-property rights remains with Sweet Decibels and its licensors. Ownership of a Production created by the Licensee is not transferred to Sweet Decibels.
4. General restrictions
Except where an applicable schedule expressly permits it, the Licensee must not:
- share, rent, lease, sublicense, or distribute a Product;
- provide an unlicensed person with access to a Product, activation, account, download, or licence credential;
- remove or obscure copyright, trade mark, attribution, licence, or proprietary notices;
- circumvent or interfere with an activation, copy-protection, security, or access-control mechanism; or
- use a Product unlawfully or in a way that infringes the rights of Sweet Decibels or a third party.
5. Third-party components and services
A Product may include or depend on third-party software, formats, services, or licensing technology. Separate third-party terms may apply to those components or services and will be identified where required. Nothing in this Agreement grants rights that Sweet Decibels is not authorised to grant.
6. Support and availability
Support is provided through the channels and for the periods announced by Sweet Decibels. Unless Sweet Decibels expressly commits otherwise, this Agreement does not guarantee indefinite availability of downloads, support for every operating system or host, or compatibility with future third-party products.
This clause does not limit any obligation to supply conformity, security, or other updates that cannot lawfully be excluded.
7. Warranty and statutory rights
Consumers benefit from the mandatory legal guarantees and remedies applicable to digital content under French and other applicable consumer law. Nothing in this Agreement excludes, restricts, or replaces those rights.
To the extent permitted by law and subject to those mandatory rights, Sweet Decibels does not guarantee that a Product will satisfy every particular workflow, operate without interruption, or remain compatible with hardware, operating systems, hosts, formats, or third-party services that change after the Product is supplied.
8. Liability
Nothing in this Agreement excludes or limits liability where doing so would be unlawful, including liability arising from fraud, gross negligence, wilful misconduct, death, personal injury, or a breach of a mandatory consumer right.
For a Licensee acting for professional purposes, and to the maximum extent permitted by law, Sweet Decibels is not liable for indirect or consequential loss, loss of profit, loss of business, loss of opportunity, or loss of data. Subject to the preceding paragraph, Sweet Decibels' aggregate liability relating to a Product will not exceed the amount paid for that Product.
9. Termination
The licence terminates automatically if the Licensee materially breaches this Agreement and, where the breach can be remedied, fails to remedy it within fourteen days after written notice. Sweet Decibels may terminate immediately for deliberate infringement, unlawful distribution, licence sharing, or circumvention of a protection mechanism.
On termination, the Licensee must stop using the affected Product, deactivate any Software licence where possible, and delete all copies that they are not legally required to retain. Productions lawfully completed and distributed before termination remain licensed, unless the breach concerned that Production or its distribution.
10. Changes to this Agreement
The version accepted when a Product is acquired continues to govern that licence. A later version applies only when required by law, when the Licensee expressly accepts it, or when it accompanies a new Product or Major Version acquired by the Licensee. Sweet Decibels may make non-material clarifications that do not reduce existing licence rights.
11. General provisions
If any provision is found invalid or unenforceable, the remaining provisions continue in effect. A failure or delay in enforcing a right is not a waiver of that right.
Sweet Decibels may assign this Agreement as part of a merger, reorganisation, or transfer of the relevant business or intellectual-property rights. The Licensee may transfer a licence only as expressly permitted in the applicable schedule.
This Agreement and any product-specific terms supplied at acquisition form the complete licence agreement for the Product. Product-specific terms prevail over this Agreement only where they expressly identify the provision being replaced.
12. Governing law and disputes
This Agreement is governed by French law. The courts with jurisdiction under French procedural law will hear disputes. Consumers retain the benefit of any mandatory law and jurisdiction applicable in their country of residence.
Schedule A: Software Licence
A1. Software licence grant
Sweet Decibels grants one Authorised User a personal, perpetual, non-exclusive licence to install and use the licensed Software for professional or personal purposes, subject to the activation limit below. If an organisation acquires the licence, it must assign the Seat to one Authorised User.
A2. One active device
A Software licence permits one active authorisation at a time on one Authorised Device. The Authorised User may move the activation between supported Authorised Devices using the Licensing System. Concurrent activations require additional licences unless Sweet Decibels expressly agrees otherwise.
If an Authorised Device is lost, damaged, replaced, or inaccessible, the Licensee may contact support to request an activation reset. Requests may be subject to reasonable verification of the licence and account.
A3. Copies and backups
The Licensee may keep a reasonable number of installer and backup copies for recovery and archival purposes. Those copies remain subject to this Agreement and must not be made available to another person.
A4. Updates and Major Versions
The licence covers the Software version acquired and any updates that Sweet Decibels chooses to provide under the same licence. Sweet Decibels may designate a release as a Major Version and require a separate purchase or upgrade fee. Providing one Major Version without charge does not create an obligation to provide later Major Versions without charge.
A5. Free, trial, demonstration, and beta Software
Software supplied free of charge, including complimentary, promotional, trial, demonstration, and beta Software, is used entirely at the Licensee's own risk. To the maximum extent permitted by law, Sweet Decibels gives no contractual warranty that such Software will be suitable for production, error-free, secure, available, supported, or compatible with the Licensee's systems or projects.
Software supplied for evaluation, demonstration, testing, or beta use may be time-limited, incomplete, modified, suspended, or withdrawn. Production use is permitted only at the Licensee's own risk. The Licensee is responsible for maintaining backups and must not rely on beta Software for uninterrupted operation, project recovery, or compatibility.
Any expiry date, feature limit, confidentiality requirement, or other product-specific beta condition supplied with the Software also applies. Nothing in this section excludes liability or rights that cannot lawfully be excluded.
A6. Software restrictions
Except to the extent expressly permitted by mandatory applicable law, the Licensee must not reverse engineer, decompile, disassemble, translate, adapt, modify, or otherwise attempt to derive the source code, internal structure, algorithms, or non-public interfaces of the Software.
Information lawfully obtained for interoperability must not be used for another purpose, disclosed except where necessary for that interoperability, or used to develop, produce, or market software whose expression is substantially similar or which otherwise infringes Sweet Decibels' rights.
A7. Licence transfers
A perpetual Software licence may be transferred to another person only through Sweet Decibels support and the applicable Licensing System. The transferor must deactivate the Software, retain no usable copy or activation, and provide any information reasonably required to process the transfer. The recipient must accept the version of this Agreement applicable to the licence before using the Software.
Trial, demonstration, beta, educational, promotional, complimentary, not-for-resale, and subscription licences are non-transferable unless Sweet Decibels expressly agrees otherwise in writing.
Schedule B: Sound Library Licence
B1. Per-person licence
A Sound Library licence is granted to one named person. It is perpetual, worldwide, non-exclusive, and royalty-free for an unlimited number of Productions. The licence may be used for personal and commercial Productions without attribution to Sweet Decibels.
If an organisation purchases a Sound Library, each person who accesses or uses its standalone files requires a Seat. Multi-seat licences are available by contacting Sweet Decibels directly.
B2. Permitted uses
The Authorised User may copy, edit, cut, layer, mix, process, pitch, transform, and synchronize sounds from the Sound Library as part of a Production. The Authorised User may reproduce, distribute, broadcast, perform, advertise, and otherwise exploit that Production in any media, for the life of the Production, without additional royalties.
A Production may be created for the Authorised User or for a client. Finished Productions, rendered audio, mixed stems, and protected game or application builds may be delivered to clients and distributors. This permission does not grant recipients access to the standalone Sound Library.
B3. Storage, backup, and collaboration
The Authorised User may store the Sound Library on devices and private backup systems under their control. Storage must not make the files accessible to unlicensed users.
A client, employee, collaborator, or contractor who needs access to the standalone files must hold their own Seat. A project archive containing accessible source files may be transferred only to a recipient who is appropriately licensed.
B4. Standalone redistribution and competing products
The Licensee must not sell, sublicense, share, upload, distribute, or otherwise make a sound available as a standalone file, whether it is original, edited, layered, processed, renamed, or converted to another format.
Sounds may not be used to create or supply a sound library, sample pack, loop pack, stem pack, preset, impulse-response collection, virtual instrument, sampler instrument, soundboard, generator, stock-media collection, or another product in which the sounds themselves provide the principal value.
B5. Games, applications, and interactive media
Sounds may be incorporated into games, applications, websites, installations, and other interactive Productions when they function as part of the finished experience. The Licensee must use reasonable technical and organisational measures to prevent users from accessing or extracting the standalone files.
B6. Artificial intelligence and identification systems
The Sound Library must not be used to train, fine-tune, test, evaluate, or build an artificial-intelligence or machine-learning model, dataset, embedding system, generative system, or synthetic-audio system without Sweet Decibels' prior written permission.
The Licensee must not register standalone or substantially isolated sounds with Content ID, audio fingerprinting, rights-management, or automated claiming systems in a way that could restrict or generate claims against Sweet Decibels or another authorised licensee.
B7. Ownership and attribution
Processing or incorporating a sound into a Production does not transfer ownership of the underlying sound or create a right to license that sound separately. The Licensee must not claim authorship or exclusive ownership of a Sound Library or its individual files.
Attribution is not required unless a Product page or product-specific notice clearly states otherwise before acquisition.
B8. Sound Library transfers
A single-user Sound Library licence is personal and non-transferable. An organisation may request changes to assigned users under a separately agreed multi-seat licence.
